Welcome to the RSS America LLC Affiliate Program, operated by RSS.com (hereinafter referred to as "we," "us," or "our"). Our affiliate program is designed to reward individuals and organizations (referred to as "Affiliates," "you," or "your") for referring new customers to our products and services through approved affiliate links and promotional methods.
By joining our Affiliate Program, you agree to be bound by these Terms of Service ("ToS"), our Privacy Policy, and the campaign terms shown in your Affiliate Dashboard. You must be at least 18 years of age and capable of entering into a legally binding agreement to participate.
To enroll, submit a completed application through our affiliate platform, Rewardful. We reserve the right to accept or reject applications based on our criteria for brand alignment, audience relevance, and promotional methods. Providing false or incomplete information may result in immediate termination from the program.
As an affiliate, you agree to conduct yourself ethically and in compliance with all applicable laws. All promotional materials must be truthful.
Disclosure. You must clearly and conspicuously disclose your financial relationship with RSS America LLC whenever you recommend or promote RSS.com, in accordance with the FTC Endorsement Guides and other applicable advertising laws. The disclosure must be placed close to the recommendation or affiliate link, where people are likely to notice and understand it.
Prohibited conduct. You may not:
Commissions are earned on qualifying sales. A qualifying sale is a payment from a new customer referred through an approved affiliate link, promotional code, or other tracking method authorized by RSS America LLC, that RSS America LLC actually receives, and that is not refunded, charged back, reversed, or found to be fraudulent. Qualifying sales do not include self-referrals, purchases made by you or by a business you control, duplicate accounts, or sales resulting from prohibited conduct under Section 4.
The specific commission rates, qualifying criteria, and the number and duration of commissions you can earn from each referred customer are shown in your Affiliate Dashboard. A customer remaining attributed to you does not by itself mean commissions will continue indefinitely.
Commissions are calculated on the net amount actually received by RSS America LLC, excluding taxes, refunds, credits, chargebacks, and amounts not collected. Discounts, coupons, promotional credits, and free periods may reduce or eliminate the commission on a particular payment.
Commissions are subject to review and verification by our team. We may withhold, reverse, or cancel any commission that is under review for, or found to involve, fraud, self-referral, or a violation of these ToS.
Attribution. A sale is attributed to you if the referred customer converts within 120 days of clicking your affiliate link, or uses a promotional code assigned to you. If a customer clicks links from more than one affiliate, the sale is attributed to the affiliate whose link was clicked most recently before conversion. Once a customer converts, they remain attributed to that affiliate, subject to the commission limits shown in your Affiliate Dashboard.
Tracking. Affiliate tracking may be affected by browser settings, cookie deletion, privacy tools, device changes, technical failures, or other circumstances outside our reasonable control. We do not guarantee that every referral will be tracked. We may, but are not required to, manually correct attribution when there is sufficient evidence to establish the correct affiliate. Our records and those of our affiliate platform will control, absent manifest error.
Commissions remain pending for 30 days after the qualifying sale, or another period shown in your Affiliate Dashboard, to allow for refunds, chargebacks, and fraud review. After this period, a valid commission becomes eligible for payment, subject to the minimum payout threshold and all other requirements of these ToS.
We process affiliate payouts once a month. Eligible commissions are paid once your balance reaches the minimum payout threshold of $25 USD, or as otherwise shown in your Affiliate Dashboard. Balances below the threshold carry over to the following month. Payments are made via the method selected in your account settings. You are responsible for any applicable taxes on your earnings.
You are responsible for providing accurate payment, tax, and identity information. We may delay payment until required information has been provided or verification has been completed.
You are granted a non-exclusive, revocable right to use our trademarks, logos, and promotional materials as provided through the affiliate platform. These materials must not be altered without our prior written consent.
This agreement is effective upon your acceptance and continues until terminated by either party. Either party may terminate this agreement at any time, with or without cause.
Upon termination, you must stop all new promotional activities and remove our affiliate links and promotional materials within a reasonable period. Unless your participation is terminated for fraud, self-referral, prohibited conduct, or another material violation of these ToS, valid commissions from customers you properly referred before the termination date remain eligible for payment for the rest of the commission period that applies to those customers. If we terminate your participation for fraud, self-referral, prohibited conduct, or another material violation of these ToS, we may cancel unpaid commissions associated with that conduct and stop all future commissions.
We shall not be liable for indirect, special, or consequential damages arising in connection with this Affiliate Program. Our aggregate liability arising with respect to this agreement will not exceed the total commissions paid or payable to you under this agreement.
You agree to indemnify, defend, and hold harmless RSS America LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from your participation in the Affiliate Program.
You may receive confidential information from us during your participation in the Affiliate Program. You agree not to disclose or use this information except as necessary to participate in the Affiliate Program.
Any customer, referral, sales, or other non-public information made available to you through the Affiliate Dashboard may be used only for participating in the Affiliate Program. It may not be sold, disclosed, or used to market to referred customers independently, unless you have a separate lawful basis to do so.
We reserve the right to modify these ToS and the Affiliate Program from time to time. Material changes will be communicated through your registered email, your Affiliate Dashboard, or another reasonable method. Unless otherwise stated, modifications apply from their effective date forward. No modification will retroactively reduce or eliminate a commission that was validly earned before the modification took effect. Continued participation in the Affiliate Program after the effective date of a modification constitutes acceptance of the modified terms.
This agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from this agreement shall be resolved through arbitration in Delaware, United States.
